Terms of Use and Our Licenses
This License Agreement (“Agreement”) is a binding contract between the Licensee (“You”) and Studio Dusk (“Licensor”), governing the use of the digital graphic templates and assets (“Products”) provided by Licensor. By downloading, using, or subscribing to access the Products, you agree to the terms outlined in this Agreement.
1. Grant of License
Licensor grants you a non-exclusive, non-transferable, revocable license to use the Products for both personal and commercial purposes. The license allows for use in unlimited projects unless otherwise stated. This license remains subject to the terms outlined in this Agreement.
2. Free Products
You are granted a license to use the “Free Products” for personal and commercial use without charge, subject to limitations outlined in this Agreement. Redistribution, resale, or sub-licensing of Free Products is strictly prohibited.
For free products, attribution is required as follows: “Design by Studio Dusk” must be included in the end product, unless the user has subscribed to access Subscription Products.
3. Subscription Products
Licensor grants you a license to use the “Subscription Products” as part of a subscription service. Redistribution, resale, or sub-licensing of Subscription Products is strictly prohibited. Licensor reserves the right to terminate the subscription and revoke the license if there is any breach of this Agreement.
Subscription Products may be used in an unlimited number of personal or commercial projects. Upon termination of the subscription, you must cease further use of Subscription Products but may continue using them in previously completed projects.
4. Permitted Use and Limitations
You are permitted to:
• Use the Products to create personal and commercial end products, such as websites, digital designs, printed materials, and client projects.
• Modify the Products as necessary for integration into your projects.
You are not permitted to:
• Redistribute, resell, sublicense, or otherwise provide the Products in any form, even if modified.
• Create derivative templates or designs intended for resale that directly compete with the original Products.
• Use the Products in any unlawful, defamatory, or infringing manner.
End Products for Sale: You are allowed to use the Products to create end products for sale (e.g., websites, brochures, print materials) provided the end product is significantly different from the original Product and does not allow extraction or redistribution of the original files.
5. Ownership and Intellectual Property Rights
All ownership rights, copyrights, and intellectual property rights in the Products remain with Licensor. You may not claim ownership of, modify, or alter the Products except for necessary modifications to fit your projects. You are not permitted to claim the Products as your own, even after making modifications.
6. Limitation of Liability
Licensor is not responsible for any direct, indirect, incidental, or consequential damages arising out of or in connection with the use or inability to use the Products. This includes, but is not limited to, loss of data, profits, or business interruption.
7. Termination and Refunds
This Agreement remains in effect until terminated by either party. Licensor reserves the right to terminate this Agreement and revoke the license if the Licensee violates any terms of this Agreement.
In the case of subscription services, you may cancel your subscription at any time. Upon cancellation, access to future updates and new Products will be revoked, and no refunds will be provided for the remainder of the subscription period.
8. Product Updates
Licensor may update, modify, or replace the Products at any time. You are entitled to receive updates for the Subscription Products during your active subscription period. Continued use of the Products after updates implies acceptance of the updated terms.
9. Governing Law
This Agreement is governed by and construed in accordance with the laws of France. Any disputes arising under this Agreement shall be resolved exclusively in the competent courts of France.
